1. Acceptance of Terms

By accessing or using Market Crash Monitor ("Service," "we," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," "your") and Market Crash Monitor.

2. Description of Service

Market Crash Monitor provides market analysis tools and educational content, including:

• Market crash risk indicators and analysis dashboard
• Historical pattern comparison with major crashes (1929, 2000, 2008, 2020)
• Educational content about market risks and crash patterns
• Subscription-based access to premium and pro features
• Advanced indicators: Credit stress, bank stress, VIX analysis, smart money flows
• Smart Money Tracker (Premium tier): SEC Form 4 insider filings and congressional STOCK Act trade tracking
• Short Squeeze Radar (Premium tier): Short squeeze candidate identification with squeeze scores and short interest analysis
• Action Signals (Premium tier): Algorithmic trading signals with buy/sell/hold recommendations
• De-Risk Portfolio Analyzer (Pro tier): Automated portfolio risk assessment and hedging strategies
• Profit Opportunities (Pro tier): Trading setup identification with entry/exit prices and win rates
• Email alerts and newsletters (frequency based on tier)
• Trade tracking and watchlist tools

Important: All features are provided for educational and informational purposes only. None of our tools, including Pro features, constitute investment advice or personalized recommendations. See Section 9 (Disclaimers) and Section 17 (Pro Features Specific Disclaimers) for complete terms.

3. Eligibility

You must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under any applicable laws
• Provide accurate and complete registration information

4. Account Registration and Security

4.1 Account Creation

• You must create an account to access certain features
• You are responsible for maintaining the confidentiality of your account credentials
• You must provide accurate, current, and complete information
• You must notify us immediately of any unauthorized use of your account

4.2 Account Responsibility

• You are responsible for all activities that occur under your account
• You may not share your account with others
• You may not transfer your account to another person
• We reserve the right to terminate accounts that violate these Terms

4.3 Account Security

• Choose a strong, unique password
• Do not share your password with anyone
• Log out after each session, especially on shared computers
• We are not liable for losses due to unauthorized account access

5. Subscription Plans and Billing

5.1 Subscription Tiers

We offer three subscription tiers with different features:

Free Tier ($0/month):

• Access to crash risk indicators and dashboard
• Monthly newsletter summary only
• Historical crash pattern analysis (view only)
• Basic market data and charts
• Educational content

Premium Tier ($9.99/month):

• All Free features, plus:

• Real-time risk alerts (up to 500 alerts/month)
• Full market sentiment analysis
• Trap Detector (False Rally Analysis)

• Short Squeeze Radar (squeeze detection, short interest scanner)
• Dark Pool Activity Tracking

Pro Tier ($29.99/month):

• All Premium features (including Action Signals), plus:
• De-Risk Portfolio Analyzer: Automated portfolio risk assessment and hedging strategies
• Profit Opportunities: Trading setup identification with entry/exit prices and win rates
• Unlimited alerts
• Custom watchlists and advanced trade tracking
• Advanced portfolio management tools
• VIP email support
• No free trial - payment required upfront

Note: We reserve the right to modify features or pricing with 30 days notice. Feature availability may change based on data provider limitations or regulatory requirements.

5.2 Payment Methods

We accept payments through:

• Stripe: Credit cards, debit cards, and PayPal
  • Premium Plan includes a 3-day free trial (Stripe payments only)
  • Pro Plan requires payment upfront - no free trial
  • Automatic monthly renewal
  • Requires valid payment method on file
• NOWPayments: Cryptocurrency payments (Bitcoin, Ethereum, USDC, USDT, and 200+ other cryptocurrencies)
  • No free trial available
  • Payment required upfront in full
  • Manual renewal required each month
  • 30-day subscription from payment confirmation

5.3 Billing Terms

• Subscriptions are billed monthly in advance
• Payment is due immediately upon subscription (or after trial period for Stripe payments)
• All fees are in USD unless otherwise stated
• We use third-party payment processors (Stripe)
• You authorize us to charge your payment method on file

5.4 Free Trial (Premium Plan Only - Stripe Payments)

Premium Plan includes a 3-day free trial when paying with Stripe:

• A valid credit card is required to start the trial
• You will NOT be charged during the 3-day trial period
• You will be charged automatically when the trial ends unless you cancel before then
• Cancel before trial ends to avoid charges
• One free trial per user
• Pro Plan does not include a free trial - payment is required upfront
• Crypto payments do not include a free trial for any plan - payment is required upfront

5.5 Pro Trial for Premium Subscribers

Premium subscribers get a 3-day trial of Pro features:

• What's Included: De-Risk Portfolio Analyzer and Profit Opportunity Signals
• Duration: 3 days from Premium subscription activation
• No Additional Charge: Pro trial is included with Premium subscription at no extra cost
• Automatic Activation: Pro trial activates automatically when Premium subscription becomes active
• After Trial Ends: Pro features lock after 3 days, Premium features continue
• Email Alerts: Pro-related email alerts (Profit Opportunities, De-Risk Portfolio) stop after trial ends
• One-Time Offer: Pro trial can only be used once per Premium subscription
• Upgrade Anytime: You can upgrade to Pro at any time to get unlimited access

Note: For Stripe payments, both Premium trial and Pro trial run concurrently for 3 days. After 3 days, you'll be charged $9.99/month for Premium and Pro features will lock. For crypto payments, Premium is active immediately and Pro trial runs for 3 days.

5.6 Automatic Renewal

• Stripe Payments: Subscriptions automatically renew unless cancelled
• Crypto Payments: Manual renewal required each month - no automatic renewal
• You will be charged at the beginning of each billing cycle (Stripe only)
• Renewal occurs at the then-current subscription rate
• We may change prices with 30 days notice

5.7 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• You retain access until the end of the paid period
• No refunds for partial months (see Refund Policy)

5.8 Plan Changes (Upgrade/Downgrade)

• You can upgrade or downgrade your plan at any time from your account settings
• Upgrades take effect immediately with prorated charges
• Downgrades take effect at the end of your current billing period
• No refunds are issued for downgrades - you retain access until period ends
• When upgrading from Premium to Pro, you'll be charged a prorated amount

5.9 Changes to Pricing

• We may change subscription prices at any time
• Price changes will be communicated 30 days in advance
• Continued use after price change constitutes acceptance
• You may cancel if you do not agree to price changes

6. Acceptable Use Policy

6.1 You AGREE TO:

• Use the Service for lawful purposes only
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Provide accurate information
• Use the Service in good faith

6.2 You AGREE NOT TO:

• Use the Service to provide investment advice to others
• Redistribute, resell, or sublicense access to the Service
• Use automated systems (bots, scrapers) without permission
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Remove or modify any copyright notices or watermarks
• Use the Service to transmit malware or harmful code
• Impersonate others or provide false information
• Harass, abuse, or harm other users
• Violate any laws or regulations
• Use the Service to make trading decisions for others
• Share your account credentials with others
• Access data you're not authorized to access

6.3 Data Scraping

• Systematic data extraction or scraping is strictly prohibited
• API access (if provided) has rate limits
• Violation may result in immediate account termination

7. Intellectual Property Rights

7.1 Our Property

We own all rights to:

• The Service and its content
• Website design, layout, and graphics
• Logos, trademarks, and branding
• Algorithms, indicators, and scoring systems
• Software code and architecture
• Original written content and analysis

7.2 User Content

• You retain ownership of data you upload (e.g., portfolio information)
• You grant us a license to use your data to provide the Service
• We may aggregate anonymized user data for analysis
• We do not claim ownership of your investment portfolios

7.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Service for personal use
• View and download content for personal reference

This license terminates when you stop using the Service.

8. Data Privacy and Security

8.1 Data Collection

• We collect data as described in our Privacy Policy
• By using the Service, you consent to data collection
• We use Supabase for data storage and management

8.2 Portfolio Data

• Portfolio analysis data is stored securely
• We do not share individual portfolio data with third parties
• We may use aggregated, anonymized data for research
• You can delete your portfolio data at any time

8.3 Third-Party Services

• We use third-party services (Stripe, Vercel, Supabase)
• These services have their own privacy policies
• We are not responsible for third-party data practices

9. Disclaimers and Limitations of Liability

9.1 No Investment Advice

• The Service does NOT provide investment advice
• Content is for educational and informational purposes only

9.2 No Guarantees

• We make no guarantees about market predictions
• Indicators may be inaccurate or misleading
• Historical patterns do not guarantee future results

9.3 Service Availability

• We do not guarantee uninterrupted service availability
• We may modify or discontinue features at any time
• We are not liable for service interruptions or downtime

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are NOT liable for:

• Any investment losses or gains
• Direct, indirect, incidental, or consequential damages
• Lost profits, data, or opportunities
• Errors or omissions in content
• Third-party actions or content
• Service interruptions or security breaches

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS, OR $100, WHICHEVER IS LESS.

9.5 Indemnification

You agree to indemnify and hold us harmless from:

• Claims arising from your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Content you submit or share

10. User Content and Conduct

10.1 User-Generated Content

• You may submit feedback, comments, or suggestions
• We may use your feedback without compensation
• Do not submit confidential or proprietary information
• We reserve the right to remove any content

10.2 Prohibited Content

Do not submit content that:

• Violates laws or regulations
• Infringes intellectual property rights
• Contains malware or harmful code
• Is defamatory, obscene, or offensive
• Promotes illegal activities

11. Email Communications

11.1 Newsletters and Alerts

• You may opt-in to receive newsletters and alerts
• Different subscription tiers have different alert limits
• You can unsubscribe at any time
• We may send transactional emails regardless of preferences

11.2 Marketing Communications

• We may send promotional emails
• You can opt-out of marketing emails
• Opting out does not affect service-related emails

12. Termination

12.1 By You

• You may close your account at any time
• Cancel subscriptions through account settings
• No refunds for remaining time in billing period

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activity
• You abuse or misuse the Service
• Required by law
• We discontinue the Service

12.3 Effect of Termination

Upon termination:

• Your right to use the Service ends immediately
• We may delete your account data
• You remain liable for any outstanding fees
• Provisions that should survive termination will continue

13. Modifications to Service and Terms

• We may add or remove indicators
• We may change subscription tier features
• Significant changes will be communicated to users

13.2 Terms Changes

• We may update these Terms at any time
• Changes will be posted with a new "Last Updated" date
• Continued use after changes constitutes acceptance
• If you disagree with changes, you must stop using the Service

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing a claim, you agree to contact us to attempt informal resolution.

14.3 Arbitration

Any dispute arising out of or relating to these Terms that cannot be resolved through informal resolution shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.

15. Miscellaneous

15.1 Entire Agreement

These Terms, along with our Privacy Policy and Disclaimer, constitute the entire agreement between you and us.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms. We may assign our rights without restriction.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our control.

15.6 No Agency

These Terms do not create any agency, partnership, or joint venture relationship.

17.1 Action Signals (Premium Feature)

Action Signals are automated algorithmic alerts and are NOT personalized investment advice, recommendations to buy or sell, or offers to trade. They are provided for informational and educational purposes only.

NO GUARANTEE OF ACCURACY OR PROFITABILITY

• Action Signals may be inaccurate, delayed, or generate false positives
• Following signals may result in losses
• Confidence scores are algorithmic estimates, not guarantees
• Historical performance of signals does not predict future results
• Position sizing recommendations are generic, not personalized to your situation

YOUR RESPONSIBILITY

• You are solely responsible for evaluating and acting on signals
• You must independently verify all information
• You should consult a financial advisor before trading
• You accept all risks associated with trading based on signals
• We are not liable for any losses resulting from Action Signals

17.2 Portfolio Derisk Analyzer (Pro Feature)

NO FIDUCIARY DUTY

The use of the Portfolio Derisk Analyzer does not create a fiduciary relationship between you and the Platform. We are not a registered investment advisor, broker-dealer, or financial planner.

ALGORITHMIC LIMITATIONS

The "Risk Score" and "Hedge Strategies" are derived from static snapshots of your portfolio and historical volatility data. These models assume normal market conditions and historical correlations which may break down during extreme market stress. The algorithm does not account for transaction costs, bid-ask spreads, slippage, or tax implications, all of which will impact actual returns.

HIGH-RISK WARNING: The strategies discussed (including inverse ETFs, options, or hedging instruments) involve a high degree of risk and are not suitable for all investors. You could lose some or all of your initial investment.

17.3 Profit Opportunities (Pro Feature)

NOT BUY/SELL RECOMMENDATIONS

Profit Opportunities identify potential trading setups based on pattern recognition and are NOT personalized recommendations to buy, sell, or hold any securities. They are provided for informational and educational purposes only.

NO GUARANTEE OF PROFIT

• Historical win rates do not guarantee future success
• Entry/exit prices are estimates and may not be achievable
• Risk/reward ratios are theoretical calculations, not guarantees
• Market conditions change rapidly, opportunities may become invalid
• Does not account for transaction costs, slippage, taxes, or your specific situation

PATTERN RECOGNITION LIMITATIONS

• Technical patterns can fail without warning
